Introduction
These Terms & Conditions govern the use of the website, services, systems, offers, invoices, subscriptions, digital solutions, business systems, consulting, and support provided by TopLan Solution.
By visiting our website, requesting information, accepting an offer, paying an invoice, using our services, accessing a system provided by TopLan Solution, or allowing work to start, you agree to these Terms & Conditions.
If you do not agree with these Terms & Conditions, you should not use our website, request our services, or continue using any system provided, configured, or managed by TopLan Solution.
These Terms apply together with any accepted proposal, invoice, written agreement, service description, Privacy Policy, Cookie Policy, Data Processing Agreement, or additional written arrangement between TopLan Solution and the Client.
If there is a conflict between these Terms and a signed written agreement, the signed written agreement will prevail only for the specific matter it covers.

Definitions
In these Terms & Conditions:
“TopLan Solution”, “we”, “us”, or “our” means TopLan Solution.
“Client”, “you”, or “your” means the person, business, company, organization, or legal entity that requests, purchases, uses, or receives services from TopLan Solution.
“Services” means all services provided by TopLan Solution, including but not limited to smart customer communication systems, smart booking systems, review systems, websites, smart menus, customer follow-up systems, AI-assisted business support, consulting, setup, integrations, support, reporting, and related digital services.
“System” means any digital environment, workspace, account, page, website, smart menu, booking flow, review flow, customer communication flow, follow-up flow, payment page, form, or business system created, configured, managed, or supported by TopLan Solution.
“Proposal” means any offer, quotation, written message, document, or commercial agreement issued by TopLan Solution and accepted by the Client.
“Subscription” means any recurring monthly, yearly, or periodic service plan.
“Third-Party Providers” means external technology providers, payment processors, hosting providers, communication providers, electronic invoicing providers, AI-assisted service providers, analytics providers, domain providers, software providers, or other external services used to deliver or support the Services.
“Client Data” means data provided by the Client or processed through systems used by the Client.
“End-Customer Data” means data relating to customers, leads, users, visitors, prospects, or contacts of the Client.
Scope of services
TopLan Solution provides smart business and digital growth systems for companies, organizations, and service providers.
Services may include, depending on the accepted proposal:
Smart customer communication support
Smart booking systems
Review and reputation request systems
Business websites
Dedicated offer pages
Smart menu and ordering systems
Customer follow-up flows
Client management systems
AI-assisted message organization
Payment and invoice support
Reporting and performance review
Consulting and business process improvement
Digital setup, configuration, and support
The exact scope of each project is defined in the accepted proposal, invoice, written agreement, or service description.
Any service, feature, integration, revision, support level, advertising budget, third-party cost, translation, legal review, accounting review, or extra work that is not clearly included in the accepted proposal is not included by default.
Business use only
TopLan Solution provides services primarily for business use.
By using our services, you confirm that you are acting for business, professional, commercial, or organizational purposes, unless otherwise agreed in writing.
If you are acting as a consumer, you must inform TopLan Solution before accepting any offer or using any service, because different legal rules may apply.
No guarantee of business results
TopLan Solution provides professional systems, setup, strategy, support, and consulting.
However, we do not guarantee specific sales, bookings, revenue, profit, leads, reviews, rankings, conversion rates, website traffic, advertising results, customer behavior, or business growth.
Business results depend on many factors outside our control, including:

Client communication

Platform rules
Economic conditions
TopLan Solution aims to improve structure, speed, communication, follow-up, and customer experience, but final business outcomes remain the responsibility of the Client.
Client responsibilities
The Client is responsible for:
Providing accurate business information
Providing correct contact details
Providing access, logos, images, content, prices, service details, menus, offers, terms, and required materials
Reviewing and approving content before publication
Reviewing system flows before use
Confirming prices, offers, menus, service descriptions, booking rules, and business information
Ensuring that business operations comply with applicable laws
Ensuring that customer data is collected and used lawfully
Managing staff access and permissions
Responding to customers where human review is required
Checking important, sensitive, or high-risk messages
Maintaining lawful marketing and communication practices
Informing TopLan Solution of any regulated, restricted, sensitive, or high-risk activities
Paying invoices on time
Using the Services only for lawful purposes
The Client remains responsible for all business decisions made through or because of the systems provided by TopLan Solution.
Client content and approvals
The Client is responsible for the accuracy, legality, and completeness of all content provided to TopLan Solution.
This includes:

Medical or beauty service descriptions

Testimonials
Legal notices
Contact information
If the Client approves content, pages, flows, menus, messages, or systems, TopLan Solution may consider them approved for publication or use.
TopLan Solution is not responsible for errors, missing information, misleading claims, unlawful content, inaccurate prices, unavailable products, or incorrect business information supplied or approved by the Client.
Prohibited use
The Client may not use the Services for illegal, harmful, deceptive, abusive, or unauthorized activities.
Prohibited use includes but is not limited to:
Fraud
Misleading advertising
Spam
Unauthorized marketing messages
Impersonation
Illegal products or services
Infringement of intellectual property rights
Unauthorized collection of personal data
Harassment or abusive communication
Malware, phishing, hacking, or security abuse
Circumventing platform rules
Collecting sensitive data without proper legal basis
Sending messages to people without the required consent
Using AI-assisted features for high-risk decisions without human review
Providing medical, legal, financial, or emergency advice through automated replies without qualified human supervision
TopLan Solution may refuse, suspend, or terminate services if the Client uses or requests the Services in a way that creates legal, security, operational, or reputational risk.
Data protection and privacy
TopLan Solution processes personal data according to its Privacy Policy and, where applicable, a Data Processing Agreement.
Depending on the situation, TopLan Solution may act as either a Data Controller or a Data Processor.
When TopLan Solution processes personal data on behalf of the Client, the Client is usually the Data Controller and TopLan Solution acts as Data Processor.
The Client is responsible for:
Having a lawful basis to collect and process customer data
Informing its customers about data processing
Obtaining consent where required
Responding to data subject requests where the Client is the Data Controller
Defining appropriate retention periods
Ensuring that uploaded data is accurate, lawful, and relevant
Ensuring that staff members handle personal data securely
TopLan Solution may use third-party technology providers and sub-processors to provide the Services.
Some data may be processed or stored outside Belgium or outside the European Economic Area. Where required, TopLan Solution aims to rely on appropriate safeguards, such as data processing agreements, standard contractual clauses, recognized transfer mechanisms, or other lawful safeguards.
TopLan Solution does not sell personal data.
Data subject requests
If TopLan Solution receives a request from an individual regarding access, correction, deletion, portability, objection, restriction, or other privacy rights, and the request relates to data controlled by the Client, TopLan Solution may refer the request to the Client.
The Client is responsible for responding to such requests when the Client is the Data Controller.
TopLan Solution may provide reasonable technical support where possible and where the request relates to data processed through systems managed by TopLan Solution.
Additional support may be charged separately if the request requires significant time, technical work, legal review, or manual processing.
Data retention and deletion
The Client is responsible for defining appropriate retention periods for customer data processed through the systems provided by TopLan Solution.
TopLan Solution may retain data for as long as necessary to provide the Services, comply with legal obligations, resolve disputes, maintain security, manage billing, support accounting records, or protect legitimate business interests.
After termination of services, TopLan Solution may delete, archive, anonymize, or restrict access to project data, unless retention is required by law or necessary for legitimate business purposes.
The Client may request export or deletion of relevant data, subject to:

Applicable law
Platform limitations
Outstanding payments
Third-party provider rules
Security requirements
Retention obligations
Data breach and security incidents
If a personal data breach or security incident occurs, TopLan Solution will assess the situation and take reasonable steps according to applicable law and the nature of the incident.
If the incident relates to data processed on behalf of the Client, TopLan Solution will inform the Client where legally required or reasonably necessary.
The Client is responsible for determining and carrying out any notification obligations to customers, authorities, or other parties when the Client is the Data Controller.
The Client must promptly inform TopLan Solution of any suspected unauthorized access, misuse, breach, security issue, or compromised login details related to systems provided by TopLan Solution.
Login credentials and system access
The Client is responsible for maintaining the confidentiality and security of all login credentials, passwords, accounts, access links, and user permissions.
The Client is responsible for all activity carried out through its accounts, staff accounts, customer accounts, or connected systems.
The Client must:
Use strong passwords
Enable two-factor authentication where available
Limit access to authorized staff only
Remove access for former staff members
Avoid sharing login details
Notify TopLan Solution immediately of any unauthorized access or suspected security issue
TopLan Solution is not responsible for losses, data exposure, system misuse, or unauthorized actions caused by the Client’s failure to secure access credentials or manage staff permissions.
Third-party providers and platform limitations
TopLan Solution may rely on third-party providers to deliver or support the Services.
These may include providers for:
Client management systems
Customer communication
Websites
Hosting
Booking systems
Review requests
Smart menus
Payment processing
Electronic invoicing
Analytics
AI-assisted features
Messaging
Domain names
Support tools
Security and monitoring
The Client acknowledges that third-party providers may change their pricing, features, terms, policies, availability, integrations, or technical behavior at any time.
TopLan Solution is not responsible for:
Outages caused by third-party providers
Downtime of external platforms
Changes in third-party pricing
Changes in platform features
Account restrictions imposed by third parties
API changes
Integration failures caused by external providers
Payment processor restrictions
Messaging provider restrictions
Domain provider issues
Data loss caused by third-party systems outside TopLan Solution’s reasonable control
If a third-party provider changes, limits, suspends, or removes a feature, TopLan Solution may offer alternatives where reasonably possible, but is not obliged to provide the same feature if it becomes unavailable.
Payment processing
Payments may be processed through third-party payment providers such as Stripe or similar providers.
The Client agrees that payment providers may process payment-related data according to their own terms, privacy policies, and security standards.
Payment provider fees, chargebacks, failed payments, currency conversion fees, refund costs, bank fees, and third-party payment costs may be charged to the Client or deducted from the payment where applicable.
TopLan Solution is not responsible for delays, holds, account restrictions, payment disputes, chargebacks, or payout issues caused by payment processors, banks, card networks, or third-party financial providers.
Invoicing and electronic invoicing
TopLan Solution may issue invoices through its invoicing systems, accounting tools, payment systems, or electronic invoicing providers.
For Belgian B2B transactions where structured electronic invoicing is legally required, invoices may be issued through Peppol or another compliant electronic invoicing method.
For clients outside Belgium, outside the European Union, or where Peppol is not applicable, invoices may be issued in PDF or another suitable format unless otherwise required by law.
The Client is responsible for providing accurate billing details, including business name, address, company number, VAT number, and other required invoicing information.
VAT and taxes
All prices are exclusive of VAT unless clearly stated otherwise.
TopLan Solution operates under the Belgian small enterprise VAT exemption scheme where applicable.
If VAT is not charged, this may be stated on the invoice according to the applicable VAT position.
The Client is responsible for any local taxes, duties, withholding taxes, import taxes, VAT, GST, or other tax obligations that may apply in its own country or jurisdiction.
TopLan Solution does not provide tax, accounting, or legal advice.
The Client should consult its own accountant, tax adviser, or legal adviser for tax treatment in its jurisdiction.
Prices and payment terms
Prices, setup fees, recurring fees, subscription fees, and third-party costs are defined in the accepted proposal, invoice, or written agreement.
Unless otherwise stated:
Setup fees are payable before work starts
Monthly subscriptions are payable in advance
Yearly subscriptions are payable in advance
Third-party costs are payable by the Client
Advertising budgets are not included unless clearly stated
Domain costs are not included unless clearly stated
Paid integrations are not included unless clearly stated
External tools are not included unless clearly stated
Additional work is charged separately
Payment deadlines are stated on the invoice or proposal.
If no payment deadline is stated, invoices are payable within 7 calendar days from the invoice date.
Late payment
If payment is late, TopLan Solution may send a reminder and may suspend access, support, workflows, websites, booking systems, smart menus, customer communication systems, or other services until payment is received.
TopLan Solution may also pause work on any active project until outstanding invoices are paid.
For business clients, late payment may result in statutory interest, administrative costs, collection costs, or legal recovery costs where allowed by applicable law.
Suspension due to non-payment does not remove the Client’s obligation to pay outstanding invoices.
Subscriptions
Subscription services continue until cancelled according to the agreed cancellation terms.
Unless otherwise stated in writing:
Monthly subscriptions are billed in advance
Subscription fees are non-refundable once the billing period has started
The Client must give at least 30 days’ written notice before cancellation
Cancellation takes effect at the end of the current paid billing period
Setup fees are not refunded
Completed work is not refunded
If the Client cancels a subscription, some services, systems, integrations, workflows, pages, automations, bookings, review flows, smart menus, or connected features may stop working.
Minimum commitment
Some services may require a minimum commitment period.
If a minimum period is stated in the accepted proposal, the Client remains responsible for payment during that minimum period.
If no minimum period is stated, the service may be cancelled according to the standard cancellation terms.
Refund policy
Setup fees, completed work, consulting, strategy work, custom configuration, digital setup, system building, website work, smart menu work, booking setup, review system setup, AI-assisted setup, and other performed services are non-refundable.
Recurring subscriptions are non-refundable for periods already started.
Refunds may be granted only at the sole discretion of TopLan Solution or where required by mandatory law.
Payment provider fees, bank fees, currency conversion fees, chargeback fees, and third-party costs are non-refundable unless the relevant provider refunds them.
Chargebacks and payment disputes
If the Client initiates a chargeback or payment dispute without first contacting TopLan Solution in good faith, TopLan Solution may suspend services immediately.
The Client remains responsible for any valid outstanding amounts, chargeback fees, collection fees, administrative costs, or third-party costs caused by the dispute.
TopLan Solution may use proposals, invoices, payment records, communication history, system logs, and service records to respond to chargebacks or payment disputes.
Project timelines
Project timelines are estimates unless expressly stated as fixed deadlines in writing.
Delivery depends on:
Timely payment
Client cooperation
Access to required systems
Delivery of content and materials
Feedback and approvals
Third-party provider availability
Technical complexity
Scope changes
Legal or compliance requirements
Delays caused by missing information, late feedback, unavailable access, third-party issues, or client-side decisions may extend the project timeline.
Revisions and changes
The number of included revisions is defined in the accepted proposal.
If no revision number is stated, TopLan Solution may provide reasonable minor adjustments at its discretion during the setup phase.
A revision means a reasonable adjustment to work already included in the agreed scope.
The following are not considered minor revisions and may be charged separately:
New pages
New features
New workflows
New design direction
New language versions
New integrations
New booking structures
New menu structures
Major content rewriting
Major layout changes
Strategy changes
Rebuilding approved work
Changes caused by missing or incorrect client information
Support
Support is provided according to the accepted proposal or service plan.
Support may include assistance with:
Basic system questions
Technical adjustments
Workflow checks
Booking flow checks
Smart menu checks
Review flow checks
Website updates
Payment or invoice-related coordination
General service operation
Support does not include unlimited new work, full rebuilds, staff training beyond the agreed scope, legal advice, accounting advice, advertising management, copywriting, design work, emergency support, or third-party troubleshooting unless included in the service plan.
Service availability
TopLan Solution aims to provide stable and professional services.
However, we do not guarantee uninterrupted, error-free, or permanently available access to any website, system, smart menu, booking system, review system, payment page, communication flow, or third-party platform.
Service availability may be affected by:
Maintenance
Updates
Internet issues
Hosting issues
Third-party outages
Payment provider issues
Messaging provider issues
Platform changes
Security incidents
Force majeure events
Client-side misconfiguration
Incorrect use by the Client or its staff
Smart assistant and AI-assisted services
Some services may include AI-assisted features or smart assistant functionality.
These features may help with:
Organizing messages
Suggesting replies
Supporting customer follow-up
Classifying inquiries
Booking support
Review request support
Customer communication support
Internal workflow assistance
The Client understands that AI-assisted features may produce incomplete, inaccurate, unsuitable, or unexpected outputs.
The Client remains responsible for reviewing important messages, sensitive requests, customer complaints, pricing decisions, appointment decisions, medical questions, legal questions, financial questions, and any communication that may affect customer rights or business obligations.
AI-assisted services must not be used as a replacement for professional judgment, emergency services, medical advice, legal advice, financial advice, or qualified human supervision.
TopLan Solution does not guarantee that AI-assisted replies will always be accurate, complete, compliant, or suitable for every situation.
Communication and marketing compliance
If the Client uses systems provided by TopLan Solution to contact customers, leads, prospects, or users, the Client is responsible for ensuring that all communication complies with applicable laws.
This includes laws and rules related to:
Marketing messages
Consent
Opt-out rights
Customer communication
Direct communication channels
Advertising claims
Consumer protection
Data protection
Industry-specific communication rules
Platform policies
Messaging provider rules
The Client is responsible for ensuring that recipients have provided any required consent before receiving marketing, promotional, follow-up, or automated communication.
The Client is responsible for the content, timing, recipients, legality, and business purpose of all communications sent through systems provided or managed by TopLan Solution.
Websites
If TopLan Solution builds or manages a website for the Client, the Client is responsible for approving all website content before publication.
The Client is responsible for the accuracy and legality of:

Service descriptions

Images
Videos

Legal notices
Contact details
Policies
Offers

Medical or beauty service descriptions
TopLan Solution does not guarantee search engine ranking, website traffic, leads, sales, bookings, or conversions unless expressly agreed in writing.
Smart menu and ordering systems
If TopLan Solution provides a smart menu or ordering system, the Client is responsible for:
Menu accuracy
Prices
Product names
Product descriptions
Ingredients
Allergens
Availability
Branch details
Delivery details
Pickup details
Food preparation
Order fulfillment
Customer complaints
Refunds to customers
Delivery delays
Operational issues
TopLan Solution is not responsible for wrong prices, unavailable items, food quality, allergen mistakes, delivery delays, order errors caused by the Client, or disputes between the Client and its customers.
Booking systems
If TopLan Solution provides a booking system, the Client is responsible for:
Staff availability
Service duration
Service prices
Calendar accuracy
Appointment confirmation
Cancellation rules
No-show policies
Customer attendance
Operational readiness
Staff delays
Customer follow-up
TopLan Solution is not responsible for missed appointments, double bookings caused by incorrect client settings, unavailable staff, customer no-shows, service delays, or operational failures outside our control.
Review systems
If TopLan Solution provides a review request or reputation support system, the Client is responsible for ensuring that review requests are honest, lawful, and not misleading.

Positive reviews
Review removal
Search ranking improvements
Platform ranking improvements
Reputation score increases
Customer feedback quality
Customer response rates
Reviews depend on customer experience, service quality, platform rules, and customer decisions.
Advertising and promotional support
If TopLan Solution provides advertising or promotional support, the Client remains responsible for:
Advertising budget
Offer approval
Product or service claims
Prices
Legal compliance
Customer service
Sales follow-up
Local regulations
Industry-specific restrictions
TopLan Solution does not guarantee ad approval, lead volume, sales, revenue, profitability, or specific advertising results.
Advertising platforms may reject, restrict, suspend, or change campaigns according to their own policies.
Domains, hosting, and technical assets
If TopLan Solution assists with domains, hosting, pages, websites, or technical assets, ownership and access depend on the accepted proposal and the provider used.
The Client is responsible for keeping ownership details, renewal dates, login details, and domain contact information accurate where the Client owns the asset.
If a domain, hosting account, or tool is purchased through a third-party provider, that provider’s terms may apply.
TopLan Solution is not responsible for expired domains, DNS errors, hosting outages, email disruptions, provider restrictions, or technical problems caused by third-party providers or incorrect client-side changes.
Intellectual property
Unless otherwise agreed in writing, TopLan Solution retains ownership of:

Templates
Workflows
System structures
Technical configurations
Know-how
Strategy frameworks
Reusable components
Pre-existing materials
Internal documents
Process designs
After full payment, the Client receives the right to use the final deliverables created specifically for the Client under the accepted proposal.
The Client may not copy, resell, redistribute, license, or transfer TopLan Solution’s templates, systems, workflows, methods, or internal structures to third parties without written permission.
Client materials and intellectual property rights
The Client confirms that it owns or has the right to use all materials provided to TopLan Solution.
This includes:

Images
Videos
Text
Brand names
Trademarks
Customer lists
Product data
Service descriptions
Testimonials
Fonts
Design assets
Business information
The Client agrees to indemnify TopLan Solution against claims related to materials supplied by the Client.
Portfolio use
Unless the Client objects in writing, TopLan Solution may mention the Client’s business name, logo, public project screenshots, and general project type as part of its portfolio, marketing, case studies, or service examples.
TopLan Solution will not intentionally disclose private customer data, confidential business data, or sensitive project details without permission.
Confidentiality
Both parties agree to keep confidential information private.

Login details
Pricing agreements
Project details
Internal processes
Non-public documents
Technical configurations
Financial information
Personal data
Trade secrets
Confidentiality obligations do not apply to information that is public, already known, independently developed, or required to be disclosed by law.
Notifications
TopLan Solution may provide notices, updates, service messages, legal notices, payment reminders, policy changes, or other communications by email, written notice, system notification, invoice note, website notice, or another reasonable communication method.
The Client is responsible for keeping contact details accurate and up to date.
A notice sent to the Client’s last provided email address may be considered received unless TopLan Solution receives a delivery failure notice.
Suspension of services
TopLan Solution may suspend services if:
Payment is overdue
The Client breaches these Terms
The Client misuses the Services
Required information is not provided
The Client requests unlawful or risky activity
The Client creates security or reputational risk
The Client violates third-party platform rules
A third-party provider suspends or limits access
Continuing the service may create legal, financial, or operational risk
Suspension does not remove the Client’s payment obligations.
Termination
TopLan Solution may terminate services if:
The Client fails to pay
The Client repeatedly delays required cooperation
The Client breaches these Terms
The Client uses the Services unlawfully
The Client misuses customer data
The Client creates unacceptable legal, security, or reputational risk
A third-party provider makes continuation impossible
The service becomes commercially, technically, or legally unreasonable to continue
The Client may terminate services according to the cancellation terms in the accepted proposal or these Terms.
Upon termination, access to systems, workflows, websites, booking systems, review flows, smart menus, support, or connected features may be removed, suspended, or limited.
Effects of termination
After termination:
Outstanding invoices remain payable
Completed work remains non-refundable
Subscription access may end
Support may stop
Third-party services may stop
Workflows may stop
Data may be archived or deleted according to retention rules
Export support may be provided where technically feasible and commercially reasonable
Additional work after termination may be charged separately
Limitation of liability
To the maximum extent permitted by law, TopLan Solution is not liable for:
Indirect damages
Loss of profit
Loss of revenue
Loss of customers
Loss of reputation
Loss of data
Business interruption
Advertising losses
Platform outages
Third-party provider failures
Payment processor issues
Messaging provider issues
Search ranking changes
Customer complaints
Operational mistakes by the Client
Incorrect information supplied by the Client
Unlawful use by the Client
Unauthorized access caused by weak client security
Failure of the Client to review AI-assisted outputs
To the maximum extent permitted by law, TopLan Solution’s total liability is limited to the amount paid by the Client to TopLan Solution for the affected service during the three months before the event giving rise to the claim.
Nothing in these Terms excludes liability where such exclusion is not allowed by mandatory law.
Indemnification
The Client agrees to defend, indemnify, and hold TopLan Solution harmless from claims, damages, costs, expenses, fines, penalties, and liabilities arising from:

Client-provided content
Client-provided customer data
Misleading claims made by the Client
Breach of privacy or data protection obligations by the Client
Marketing messages sent without proper consent
Incorrect prices, offers, menus, or service descriptions
Customer disputes caused by the Client’s operations
Intellectual property infringement caused by Client materials
Violation of third-party provider terms
Failure to comply with industry-specific rules
Failure to pay taxes or local charges
Failure to review AI-assisted outputs
Force majeure
TopLan Solution is not responsible for delays, failures, or inability to perform caused by events beyond reasonable control.

The parties agree to first try to resolve any dispute through good-faith communication.
If no solution is reached, the competent courts of West Flanders, Belgium, shall have jurisdiction, unless mandatory law provides otherwise.
Severability

Entire agreement
These Terms, together with the accepted proposal, invoice, written agreement, Privacy Policy, Cookie Policy, and any applicable Data Processing Agreement, form the agreement between TopLan Solution and the Client.
If there is a conflict between these Terms and a specifically signed written agreement, the signed written agreement will prevail for that specific matter.
